1. Agreement to these terms
These Terms & Conditions ("Terms") are an agreement between you and Z3NTRA LLC, a Georgia limited liability company ("Z3NTRA," "we," "us," or "our"), governing your access to and use of the Z3NTRA application (the "Service"). By creating an account or using the Service, you agree to these Terms, our Privacy Policy, and our Acceptable Use Policy, which are incorporated into these Terms by reference. If you're using the Service on behalf of an organization, you're agreeing on that organization's behalf and confirming you have the authority to do so.
2. Who can use the Service
You must be at least 18 years old to create an account. The Service is intended for business and professional use — organizing and prioritizing work — and is not directed at, or designed to be used by, children.
3. What the Service does
Z3NTRA pulls tasks from external systems you connect (such as Azure DevOps, Monday.com, Jira, Zendesk, ClickUp, LiveAgent, Smartsheet, or a custom API) into a single, unified list, and applies a configurable scoring model to help rank what to work on next. Where the connected system's own API allows it, changes you make in Z3NTRA can be written back to that system. Z3NTRA is a productivity and organization layer on top of the systems you already use — it doesn't replace them, and it isn't the source of truth for data that originates elsewhere.
4. Your account
You're responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at support@z3ntra.ai if you suspect unauthorized access to your account.
5. Free trial, fees, and billing
New accounts start with a free trial period, the length of which is shown at signup. After the trial ends, continued access requires an active paid subscription. Subscriptions are billed in advance on a recurring basis (monthly or annual, as you choose), processed by our payment processor, Stripe. We don't store your full card number — Stripe handles that directly. You can view current pricing at any time on our pricing page, and manage or cancel your subscription at any time from the billing portal inside the app. Fees already paid are non-refundable except where required by law or as we agree in writing.
6. Your data and content
As between you and Z3NTRA, you (or your organization) retain ownership of the task data, project information, and other content that flows into the Service from your account or the systems you connect ("Your Content"). You grant Z3NTRA a limited license to host, process, transmit, and display Your Content solely as needed to provide and improve the Service to you. We don't sell Your Content, and we don't use it to train models for other customers.
7. Connected third-party systems
Any external system you connect to Z3NTRA remains governed by its own terms of service and privacy policy, which you're responsible for complying with. Z3NTRA acts as a conduit between you and those systems using the credentials you supply — we don't control their availability, accuracy, or content, and we're not responsible for their acts or omissions. If a connected system changes or revokes its API access, features that depend on it may stop working until reconnected.
8. Acceptable use
Your use of the Service is also governed by our Acceptable Use Policy, which describes conduct that isn't permitted. We may suspend or terminate access for violations as described there.
9. Intellectual property
Z3NTRA and its licensors own all right, title, and interest in the Service itself — its software, design, and the Z3NTRA name and logo — apart from Your Content. Nothing in these Terms transfers any of that ownership to you. If you send us feedback or suggestions about the Service, we may use them without any obligation to you.
10. Service availability
We aim to keep the Service reliably available but don't currently guarantee a specific uptime commitment or service level. We may perform maintenance, and the Service may occasionally be unavailable as a result. We'll try to minimize disruption and communicate significant planned downtime in advance where practical.
11. Term and termination
These Terms remain in effect while you use the Service. You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your account for a violation of these Terms, the Acceptable Use Policy, or if we discontinue the Service, in each case with notice where reasonably practical. Upon termination, your right to use the Service ends; we handle your data on termination as described in our Privacy Policy.
12. Disclaimer of warranties
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.
13. Limitation of liability
To the maximum extent permitted by law, Z3NTRA and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid us for the Service in the twelve months preceding the claim.
14. Indemnification
You agree to indemnify and hold Z3NTRA harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms, the Acceptable Use Policy, or applicable law, or from Your Content.
15. Governing law
These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Georgia, and you consent to that jurisdiction and venue.
16. Changes to these terms
We may update these Terms from time to time. If we make a material change, we'll update the "Last updated" date above and, where required, notify account holders — for example, by email or an in-app notice. Continued use of the Service after a change takes effect means you accept the updated Terms.
